本利用規約（以下「本規約」）は、KAIテクノウェブデザイン（岩崎哲也、以下「当社」）が提供する Threado（以下「本サービス」）の利用条件を定めるものです。ユーザーは、本サービスを利用することにより、本規約に同意したものとみなされます。
1. サービスの概要
本サービスは、Meta Threads の運用を支援するツールです。Threads API および AI CLI を利用して、投稿の自動生成・予約・自律運用、フォロワー・投稿パフォーマンスの分析（PDCA）、キーワード/シナリオに基づく返信の自動化などの機能を提供します。
- ショット版（ローカル版）：ユーザーの PC 上で動作します。
- VPS 版（サーバー版）：当社が管理するサーバー上で動作します。
2. 利用条件
- Meta Threads アカウント：OAuth 2.0 による連携が必要です。
- 有料の AI CLI（AI 生成エンジン）：投稿生成・分析機能には、ユーザー自身が契約した AI CLI（Claude Code（推奨）または Codex 等）が必要です。AI の利用料金はユーザーの負担とします。
- 有効なライセンスキー（ショット版・該当する場合）。
- 本サービスの動作に必要な環境（対応 OS・Google Chrome 等）。
3. 禁止事項
- スパム行為（無差別・大量の投稿、いいね、コメント、フォロー等）。
- Meta（Threads / Instagram）の利用規約・ガイドライン・各種ポリシーに違反する行為。
- 法令・公序良俗に反する行為、第三者の権利（著作権・プライバシー・名誉等）を侵害する行為。
- 虚偽・誤認を招く情報の発信、なりすまし。
- リバースエンジニアリング、複製、再配布、改変版の第三者提供（許諾範囲を除く）。
- ライセンスキーの不正利用・共有・転売。
- 本サービス・当社サーバー/ネットワークへの過度の負荷、不正アクセス。
- その他、当社が不適切と合理的に判断する行為。
違反があった場合、当社は事前通知なく本サービスの提供を停止・制限できるものとします。
4. 免責事項
- 本サービスは現状有姿（AS IS）で提供され、当社は適合性・完全性・正確性・継続性等を保証しません。
- Threads（Meta）の仕様変更・API 変更・提供停止等により機能が利用できなくなる場合があり、これによる損害について当社は責任を負いません。
- アカウントの凍結・制限・BAN 等のリスク：自動化機能（自動投稿・自動返信・自動エンゲージ等）の利用は Meta 規約上のリスクを伴う場合があります。利用はユーザーの自己責任とし、当社はアカウント停止等の結果について責任を負いません。
- 本サービスの利用に起因・関連してユーザーまたは第三者に生じた損害について、当社の故意・重過失による場合を除き責任を負いません。責任を負う場合でも、直接かつ現実の通常損害に限られ、ユーザーが支払った対価額を上限とします。
- AI 生成コンテンツの内容・正確性・適法性の最終確認はユーザーが行うものとし、当社は保証しません。
5. Meta 利用規約への準拠
本サービスは Meta Platforms, Inc. の Threads API を利用しています。ユーザーは、Meta Platform Terms、Threads API 利用規約・ガイドライン、Meta（Threads / Instagram）の各種規約・ポリシーを遵守するものとします。本規約と Meta の規約が抵触する場合、Threads データの取り扱いについては Meta の規約が優先します。
6. 知的財産権
本サービス・関連ソフトウェア・ドキュメント・商標等の知的財産権は当社または正当な権利者に帰属します。ユーザーが本サービスを通じて作成・投稿したコンテンツの権利はユーザーに帰属します。
7. 料金
本サービスの利用料金・支払条件は別途当社が定める販売条件によります。AI CLI の利用料金は本サービスの料金に含まれず、ユーザーの負担とします。
8. サービスの変更・終了
当社は、事前通知の有無にかかわらず本サービスの内容を変更し、または提供を終了できます。重要な変更・終了は可能な範囲で事前告知に努めます。これによる損害について当社は責任を負いません。
9. 本規約の変更
当社は必要に応じて本規約を変更することがあります。重要な変更は本ページの更新で告知します。変更後の継続利用は変更後規約への同意とみなされます。
10. 準拠法・裁判管轄
本規約は 日本法 に準拠し解釈されます。紛争が生じた場合、当社の所在地を管轄する日本の裁判所を第一審の専属的合意管轄裁判所とします。

These Terms of Service (the "Terms") set out the conditions for using Threado (the "Service") provided by KAI Techno Web Design (Tetsuya Iwasaki, the "Company"). By using the Service, you agree to these Terms.
1. Overview of the Service
The Service is a tool that supports the operation of Meta Threads, providing automatic generation, scheduling and autonomous posting; analysis of followers and post performance (PDCA); and automation of replies based on keywords and scenarios, using the Threads API and AI CLIs.
- Shot edition (local): Runs on the User's PC.
- VPS edition (server): Runs on a server managed by the Company.
2. Conditions of Use
- A Meta Threads account: Connection via OAuth 2.0 is required.
- A paid AI CLI: Generation and analysis features require an AI CLI you subscribe to (Claude Code (recommended) or Codex, etc.). AI usage fees are borne by the User.
- A valid license key (Shot edition, where applicable).
- An environment meeting the Service's requirements (supported OS, Google Chrome, etc.).
3. Prohibited Acts
- Spam (indiscriminate or bulk posting, likes, comments, follows, etc.).
- Acts violating Meta's (Threads / Instagram) terms, guidelines, or policies.
- Acts violating laws or public order, or infringing third-party rights (copyright, privacy, reputation, etc.).
- Distributing false or misleading information, or impersonation.
- Reverse engineering, copying, redistributing, or providing modified versions to third parties (except as permitted).
- Unauthorized use, sharing, or resale of license keys.
- Excessive load on the Service or the Company's servers/network, or unauthorized access.
- Other acts the Company reasonably deems inappropriate.
Upon violation, the Company may suspend or restrict the Service without prior notice.
4. Disclaimer
- The Service is provided "AS IS"; the Company makes no warranty of fitness, completeness, accuracy, or continuity.
- Due to changes to Threads (Meta) specs/API or discontinuation, features may become unavailable; the Company is not liable for resulting damages.
- Risk of account suspension, restriction, or ban: Use of automation features (auto-posting, auto-reply, auto-engagement) may carry risks under Meta's terms. Such use is at the User's own risk, and the Company is not liable for outcomes such as account suspension.
- Except for the Company's intent or gross negligence, the Company is not liable for damages to the User or third parties; even where liable, limited to direct and actual ordinary damages, capped at the amount the User paid.
- The User is responsible for the final review of AI-generated content's content, accuracy, and legality; the Company makes no warranty.
5. Compliance with Meta Terms
The Service uses Meta's Threads API. The User shall comply with the Meta Platform Terms, the Threads API terms and guidelines, and Meta's (Threads / Instagram) terms and policies. If these Terms conflict with Meta's, Meta's terms prevail regarding Threads data.
6. Intellectual Property
IP rights in the Service and related software, documentation, and trademarks belong to the Company or rightful owners. Rights to content the User creates and posts belong to the User.
7. Fees
Fees and payment terms are governed by separate sales conditions defined by the Company. AI CLI usage fees are not included and are borne by the User.
8. Changes to or Termination of the Service
The Company may change or discontinue the Service, with or without prior notice, endeavoring to give advance notice for material changes where possible. The Company is not liable for resulting damages.
9. Changes to These Terms
The Company may revise these Terms and will notify material changes by updating this page. Continued use constitutes acceptance.
10. Governing Law and Jurisdiction
These Terms are governed by the laws of Japan. Disputes shall be subject to the exclusive jurisdiction of the Japanese court having jurisdiction over the Company's location as the court of first instance.
